I really want to upgrade it to a 64bit so i can put in more ram.

Your processor determines 64 bit capability, not the motherboard. If the backplate is removable, chances are you can use any micro atx board you like. I've used the e4400 cpu, and it works with 64 bit windows. It also ran fine with windows xp virtualization in windows 7. If you want to do some serious gaming, start with a new power supply. I recommend corsair. For the board and cpu, check newegg.com for ideas and decide if you want to reuse your old ddr2.
