With this given choice I would go with GIGABYTE GA-Z68A-D3H-B3

I think the Gigabyte is better because it has 3 PCIe slots. Although mine I used Biostar TZ68A+RCH bought in Micro Center for only $109.00. I'm using i5 2500K CPU overclocked at 4.7 GHZ

I'd say the ASRock in that comparison.
It has an 8pin cpu power header = more power and voltage for o'c
Has a robust double heatsink array around the socket.
The Gigabyte board only has a 4pin cpu and 1 very thin heatsink.
That plays an important part in overclocking for maintaining board voltage stability.
